User Agreement
These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the waderaviation.com website (“Website”), “waderaviation.com” mobile application (“Mobile Application”) and any of their related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and Wader Aviation Corp. (“Wader Aviation Corp.”, “we”, “us” or “our”). If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this agreement, you must not accept this agreement and may not access and use the Services. By accessing and using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and Wader Aviation Corp., even though it is electronic and is not physically signed by you, and it governs your use of the Services.
References in this Agreement to contacting us, or to the “Support Hub”, mean our in-product support channel, available in the Mobile Application under More → Support Hub and in the web logbook under Support.
Accounts and membership
If you create an account on the Services, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration. If we suspend, disable or delete your account for any of the foregoing reasons, any paid subscription associated with that account is forfeited and no refund will be issued, except where a refund is required by applicable law.
One account per person. You may keep only one personal account. You must not create an account using false information or a false identity, create accounts by automated means or in bulk, or create an account for another person without that person’s knowledge and consent. We may remove accounts that break this rule.
PRO subscription
The Services are offered in a free tier and in a paid tier (“PRO”). PRO unlocks additional features, which are described on the subscription page within the Services at the time of purchase. The features included in PRO may change over time as the Services develop; we will not materially reduce the core functionality of PRO during a term you have already paid for.
PRO is currently sold as an auto-renewing annual subscription. We may in future offer additional subscription terms, plans or pricing, which will be described at the point of purchase and governed by this Agreement.
You may purchase PRO through:
-
the Apple App Store (for the iOS Mobile Application);
-
the Google Play Store (for the Android Mobile Application); or
-
our web checkout, which is operated on our behalf by our authorized reseller and merchant of record, Lemon Squeezy, LLC (“Lemon Squeezy”).
Where you bought your subscription determines who bills you, who you cancel with, and how a refund is paid out. The refund policy itself is the same for every channel. This is set out in the sections below. If you are not sure where you bought your subscription, contact us through the Support Hub and we will tell you.
A PRO subscription is personal to a single user account and may not be shared, resold, sublicensed or transferred. PRO purchased on one platform is recognised across the Website and the Mobile Application when you are signed in to the same Wader account.
Billing and auto-renewal
Auto-renewal. Your PRO subscription renews automatically at the end of each subscription term, at the then-current standard price for your plan, unless you cancel it before the renewal date. By purchasing PRO you authorize us, or the applicable app store or reseller, to charge your selected payment method on each renewal.
When you are charged. For purchases made through the Apple App Store or the Google Play Store, your account is charged for renewal within 24 hours before the end of the current term, in accordance with that store’s rules. To avoid being charged for a renewal, you must cancel at least 24 hours before the current term ends. For purchases made through our web checkout, you are charged on the renewal date shown in your billing portal.
Prices and taxes. Prices are displayed to you before you confirm your purchase and are shown in your local currency where the store or our reseller supports it. Prices may include or exclude value added tax, sales tax or other applicable taxes, as determined by the app store or by our merchant of record based on your billing location. The total amount payable is always shown to you before you confirm the purchase.
Introductory and promotional pricing. We may from time to time offer an introductory price, discount or promotional offer. Unless we state otherwise, such an offer applies to the first subscription term only, is available to first-time subscribers only, cannot be combined with other offers, and the subscription will renew thereafter at the standard price for the plan. Eligibility for an introductory price is determined by the applicable app store.
Free trials. If we offer a free trial, the applicable trial terms will be presented at sign-up. Unless you cancel before the trial ends, the trial automatically converts to a paid subscription and your payment method is charged. Free trials are limited to one per user, and we may withdraw or modify a trial offer at any time.
Price changes. We may change the price of a subscription. Any price change applies only to subscription terms beginning after the change takes effect, and we will give you notice before it applies to you, by email, by a notice in the Services, or through the applicable app store. Where the applicable app store or the law requires your express consent to a price increase, your subscription will not renew at the new price unless you give that consent. If you do not agree to a price change, you may cancel before your next renewal date.
Failed payments. If a renewal payment fails, the app store or our reseller may retry the payment in accordance with its own policies. If payment is not successfully collected, your PRO access will end and your account will revert to the free tier.
Immediate access and record of acceptance. Your PRO access begins as soon as your payment is confirmed. When you subscribe through our web checkout, we record your acceptance of this Agreement on your order, together with the date and the version of this Agreement in force at that time.
Restoring a purchase. If you reinstall the Mobile Application or sign in on a new device, you can restore an active subscription using the “Restore purchases” function in the app, provided you use the same Apple ID or Google account used to make the purchase.
Cancellation
You may cancel your PRO subscription at any time. Cancellation stops the next renewal; it does not end the current subscription term. Unless a refund is granted under the Refunds section below, you keep PRO access until the end of the term you have already paid for, and you will not be charged again.
You must cancel through the channel you purchased from:
-
Apple App Store: open the Settings app on your device, tap your name, then Subscriptions, select Wader and choose Cancel Subscription. We cannot cancel an Apple subscription on your behalf.
-
Google Play Store: open the Google Play app, go to Payments & subscriptions → Subscriptions, select Wader and choose Cancel subscription. We cannot cancel a Google Play subscription on your behalf.
-
Web checkout: use the billing portal link available in your account, or contact us through the Support Hub and we will cancel it for you.
What happens after cancellation. When PRO ends, your account reverts to the free tier. We do not delete your logbook data because a subscription has ended. Your flights and records remain in your account, and you continue to have access to the free-tier functionality, including the ability to view and export your logbook. PRO-only features become unavailable until you subscribe again. If you wish to have your account and data deleted entirely, you may request deletion as described in our Privacy Policy.
Cancellation by us. We may cancel or decline to renew a subscription if we discontinue the Services or the plan, or if you breach this Agreement. If we discontinue a plan during a term you have paid for, we will refund the unused portion of that term on a pro rata basis. If we cancel for your breach of this Agreement, no refund is due, except where required by applicable law.
Refunds
This refund policy applies to every PRO purchase, whichever channel you bought it through: our web checkout, the Apple App Store or the Google Play Store. The channel changes only how a refund is requested and paid out, as described under How to request a refund below.
14-day money-back guarantee
If you are not satisfied with PRO, you may request a refund within 14 days of your first purchase of a subscription. Subject to the conditions below, we will refund that payment in full and cancel the subscription.
Renewal payments are not refundable, because you receive advance notice of, and are able to cancel before, every renewal. If a renewal was charged in error, or you were charged after cancelling, contact us through the Support Hub and we will help to correct it.
Use of PRO features before a refund request
The money-back guarantee exists so that you can evaluate PRO and decide whether it suits you. It is not a means of obtaining the output of PRO features without paying for them.
Some PRO features deliver a permanent result that you keep after your subscription ends — a file you have downloaded or printed, or data that stays in your logbook. That value cannot be returned to us. Accordingly, the money-back guarantee does not apply, and we may decline a refund or grant only a partial refund, once you have used PRO to produce or obtain such a result. This includes, without limitation:
(a) obtaining a signature or verification on your logbook, or generating, downloading, printing, exporting or sharing a signed logbook PDF;
(b) generating, downloading, exporting or sharing a Professional Pilot CV;
(c) generating, downloading, exporting or sharing a Professional Report;
(d) completing an import of flight records into your account from an airline roster, another logbook application, a spreadsheet or any other source;
(e) enriching flight records with ADS-B data;
(f) applying a batch edit to your flight records.
Where you have done any of the above and then request a refund, we will, acting reasonably, either (i) decline the refund, or (ii) refund part of the fee after deducting a fair amount reflecting the value already delivered to you. We will tell you which applies and explain the reason.
Ordinary evaluation is not “use” for this purpose. Signing in, opening and browsing PRO screens, previewing a feature, generating an unsigned preview, or importing a small sample of records to test compatibility will not, by themselves, invalidate the guarantee. The test we apply is whether you have taken away the finished output of a PRO feature, not whether you have opened that feature.
Reversal. Where the result can be undone, you may instead ask us to reverse it — for example by revoking a logbook signature or removing an import — and we will then treat the guarantee as unaffected. This is not possible for material you have already downloaded, printed or shared with a third party.
How to request a refund
-
Web checkout. Contact us through the Support Hub. We decide the request under this policy. Any refund is issued to the original payment method by our merchant of record and may take up to 10 business days to appear, depending on your bank or card issuer.
-
Google Play Store. Contact us through the Support Hub. We decide the request under this policy and issue any refund through Google Play. For a short period after purchase, Google may also let you request a refund directly from Google under its own policy.
-
Apple App Store. Apple processes all refunds for App Store purchases; we are not able to issue one ourselves. Request a refund from Apple at reportaproblem.apple.com. Where Apple asks us for information about your use of PRO while it considers your request, we provide that information in line with this policy. Apple makes the final decision.
Refunds granted by an app store. Where Apple or Google grants a refund under its own policy, including a refund that this policy would not allow, your PRO access ends when the refund is processed.
Statutory rights
PRO is supplied to you immediately after payment. By subscribing, you request that supply begins immediately and, to the extent permitted by the law that applies to you, you acknowledge that any statutory right of withdrawal is lost or reduced once supply has begun, and that you may be required to pay a proportionate amount for what has already been supplied.
Nothing in this section limits any refund, withdrawal or cancellation right you have under the mandatory consumer protection laws of your country of residence, including, where applicable, the right of withdrawal available to consumers in the European Union and the United Kingdom. Where such a right applies and has not been validly waived, it prevails over any condition in this section, and our 14-day guarantee is offered in addition to it.
No refunds for partial periods
Except as set out above or as required by law, subscription fees are non-refundable and we do not provide refunds or credits for partially used subscription periods, for periods in which you did not use the Services, or for features you chose not to use.
Abuse
We may decline a refund request, and may decline to sell further subscriptions to you, where we reasonably determine that a refund is being sought abusively or fraudulently, including repeated purchase-and-refund cycles, or purchasing PRO in order to extract a specific PRO output and then immediately seeking a refund. This paragraph does not apply to a valid exercise of a statutory right of withdrawal, except where that right is exercised repeatedly in purchase-and-refund cycles.
Right of withdrawal (EU, EEA and UK)
If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you have a legal right to withdraw from your PRO purchase within 14 days, without giving a reason.
At checkout, you ask us to start PRO immediately and confirm that you understand you lose this right once you generate PRO content. We repeat this in your purchase receipt.
Before you generate a signed logbook, a Pilot CV or a Professional Report within the first 14 days of a billing period, we ask you to confirm again. When you confirm, the content is delivered to you in full and you lose the right to a full refund for that billing period.
If you withdraw before you generate any such content, we refund your payment in full.
To withdraw, contact us or use the refund process for your purchase channel. You may use this sentence: "I withdraw from my contract for Wader PRO", with your name, account email and date of purchase.
One-time services
We may from time to time offer one-time, non-subscription purchases in addition to PRO, such as a one-time import of an existing logbook or a one-time logbook audit (“One-time Services”). Where we do offer them, the following terms apply.
A One-time Service is charged once and does not renew. Because it is delivered as a single piece of work, it becomes non-refundable once we have begun performing it. If you have purchased a One-time Service and we have not yet begun work on it, you may contact us through the Support Hub to cancel it for a full refund. For a One-time Service purchased through an app store, the refund is requested and paid out as described under How to request a refund above.
A One-time Service covering a data import depends on the format and completeness of the file you supply. Where a file is unsupported, corrupted or unreadable, and we are unable to complete the import, we will either agree an alternative with you or refund the purchase.
Referral Program
We may offer a referral program (“Referral Program”) that lets you invite other pilots to Wader and earn rewards (“Rewards”). This section applies to everyone who takes part in the Referral Program, both the user who invites (“Referrer”) and the pilot who is invited (“Referred User”). Details such as the available Rewards, the number of referrals needed and the current activity requirement are shown in the Services or on our website while the Referral Program is offered.
How it works. Each account has a personal referral code. A Referred User can enter a Referrer’s code in their profile, during sign-up or later. Once the code is entered, the two accounts are linked. The “invited” number shown in the Services counts every account that has entered your code. It is for information only. It is not the number of qualifying referrals, and it does not by itself give you a Reward.
Qualifying referrals. A referral counts toward a Reward only if all of the following are true:
(a) the Referred User is a real individual pilot with one genuine account, and is not the Referrer;
(b) the Referred User has a verified email address or signed in with a supported social sign-in;
(c) the account was not created, owned, paid for or controlled by the Referrer, or by anyone acting for the Referrer, and it is not a duplicate of another account; and
(d) the Referred User becomes an active user. An active user is a user who genuinely uses the Services. We currently measure this by real flights logged within the first three months after the account is created. We may decide that an account that was already active before the referral code was entered does not qualify.
Misuse. The following do not count as referrals, and are not allowed: fake, duplicate, disposable or automatically created accounts; accounts opened with false identities; accounts created by the Referrer for themselves; and flights or other data that are false or entered only to meet the activity requirement.
Checks and action we may take. We may check any referral and may ask you for information. If we find, or reasonably suspect, misuse, we may: (i) not count the referral; (ii) refuse to grant a Reward, or withdraw a Reward that was already granted because of misuse; (iii) suspend or delete the accounts involved; and (iv) where the misuse is serious or repeated, suspend or delete the Referrer’s account under Accounts and membership. We take these steps against the accounts involved in the misuse. We act reasonably and in good faith, and you may ask us through the Support Hub to review a decision.
Rewards. A Reward is a benefit that we give at our discretion. It has no cash value and cannot be exchanged for money, sold, transferred or combined with other offers, unless we say otherwise. A Reward is normally a discount coupon or free PRO time, applied as described when you claim it. To claim a Reward, contact us through the Support Hub. The rules for PRO in this Agreement apply to PRO time or discounts you receive as a Reward. A Reward that gives free PRO time is not a payment, so no refund applies to it.
Changes to the Referral Program. We may change, pause or end the Referral Program at any time. This includes the Rewards, the number of referrals needed and the activity requirement. We will publish the current rules in the Services or on our website. A change does not remove a Reward that we have already granted to you.
Sharing your code. Share your referral code with people you know, or in places where sharing it is welcome. You must not send unsolicited or bulk messages to promote your code, post your code in the Feed, make false or misleading statements about Wader or the Rewards, or present yourself as Wader. You must follow all laws that apply to your promotion, including anti-spam laws.
Data. We use referral data (your code, the link between the two accounts, and the referral count and activity status) to run the Referral Program and to prevent abuse, as described in our Privacy Policy.
User content
We do not own any data, information or material (collectively, “Content”) that you submit on the Services in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may, but have no obligation to, monitor and review the Content on the Services submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable. We may use your Content to provide the Services. We may also create statistics from Content and usage data that do not identify you, such as airport statistics or statistics about our user base (for example, by country, aircraft type or age range). We may use these statistics ourselves and share them with third parties, including businesses that want to advertise in Wader. We do not share statistics that identify you. We will not use your name, photo or Feed posts in our advertising or marketing without your permission.
Content that you post in the Feed is also subject to the Community Feed section below.
Community Feed
The Feed is a shared space in the Mobile Application where users can post about flying. In the Feed you can share flights from your logbook with a photo and a description, operational alerts (“Ops Alerts”) and aviation news links (“News”). You can also like and comment on posts by other users.
Who can see your posts
There is one Feed for the whole Wader community. Everything you post in the Feed, including your comments and likes, can be seen by all users of the Mobile Application. You cannot limit who sees a post. Your name or username and profile picture are shown with your posts.
Nothing is posted automatically. A flight is shared only when you choose to share it and confirm. A shared flight may show the route, aircraft, times, runways used and threats you reported, together with your photo and description. Share only what you are happy for every user to see. You can also choose to share a post outside Wader, for example on Instagram. We do not control what happens to a post once it is shared outside Wader, and the rules of that platform apply.
Your responsibility
You are responsible for everything you post. Before you post, make sure that:
-
you have the right to post the text and the photo;
-
you do not share confidential or proprietary information of your employer, your operator or any other party;
-
you do not share personal information about other people, such as crew members or passengers, and you do not post photos that identify a person without that person’s consent; and
-
you are not using the Feed while you operate an aircraft or perform flight duties.
Feed rules
These rules apply in addition to the Prohibited uses section. In the Feed you must not post any content, including posts, photos, links and comments, that:
(a) is spam, as described below;
(b) advertises or promotes a product, service, business, brand, event, job, course, website, channel or account, including your own (“self-promotion”);
(c) promotes, links to, or asks users to try or move to a product or service that competes with Wader, such as another pilot logbook application;
(d) contains a referral code, discount code, affiliate link or an invitation to join any referral or rewards program, including ours;
(e) is harassing, abusive, hateful, threatening, discriminatory, sexually explicit, or graphically violent, or is otherwise objectionable;
(f) is false or misleading, including invented flights, alerts or news, or that pretends to be another person or organization;
(g) infringes the rights of others, including copyright;
(h) contains links that are malicious, deceptive or unrelated to the post; or
(i) is clearly unrelated to flying or aviation.
Mentioning an airline, an aircraft manufacturer, an airport or another name while describing your own flight is not self-promotion. The test we apply is the purpose of the post. If the main purpose of a post is to bring attention, customers, traffic or sales to something, it is not allowed.
What is spam
Spam includes:
-
posting the same or very similar content again and again, or posting in bulk;
-
posting or commenting mainly to draw attention or traffic to a link, account or product;
-
unsolicited commercial messages, including in comments;
-
fake, repeated or traded likes and comments, and any other way to inflate engagement artificially;
-
using bots, scripts, other automation, or several accounts to post, like or comment;
-
comments that are unrelated to the post they are attached to; and
-
Ops Alerts or News that are irrelevant or repeated, or that use the wrong type or location to gain visibility.
Ops Alerts and News
An Ops Alert must describe a real and current operational situation for the type and location you select, and must be based on your own knowledge or on a reliable source. A News post must link to the original news source and must be relevant to aviation. Add links only when they are relevant. Give a short description and a link; do not copy a full article that you do not have the right to copy.
Ops Alerts, News and all other Feed content are created by users. We do not verify or approve them, so we cannot guarantee their accuracy, and they may be wrong, incomplete or out of date. They are not official information and are not a substitute for official sources such as NOTAMs, weather briefings, ATIS, air traffic control, or your operator’s operations department. Always check official sources before you make any operational or safety decision. Wader is not an aviation authority.
To the fullest extent permitted by applicable law, we are not responsible for the accuracy, completeness or timeliness of any content or link posted by users, and we are not liable for any loss or damage that results from your use of, or reliance on, that content.
Licence for Feed content
You keep ownership of what you post. When you post in the Feed, you allow us and the other users of the Mobile Application to view, display and share your post within the Services for as long as it is posted. This is in addition to the permission described in the User content section.
Moderation and enforcement
We may, but are not obliged to, review Feed content. At this time we review content manually. If a post, comment or user breaks these terms, we may take action that fits the situation. This can include removing or hiding content, sending a warning, limiting your ability to post, comment or like, suspending your access to the Feed, and, where the case is serious or repeated, suspending or deleting your account under Accounts and membership. We consider how serious the case is, whether it was intentional, and your history. We may act without notice where this is needed for safety, or to comply with the law. Removing content or limiting your Feed access does not, by itself, affect your logbook data or your PRO subscription.
Reporting
If you see a post, comment or user that breaks these terms, please tell us through the Support Hub. Include a description of the content and the user, so that we can find it. Where a report function is available in the Feed, you can also use it. We review reports as soon as we reasonably can. We cannot promise a time or a result for each report.
Backups
We perform regular backups of the Website and its Content and will do our best to ensure completeness and accuracy of these backups. In the event of the hardware failure or data loss we will restore backups automatically to minimize the impact and downtime.
Links to other resources
Although the Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on the Services. Your linking to any other off-site resources is at your own risk.
Prohibited uses
In addition to other terms as set forth in the Agreement, you are prohibited from using the Services or Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; (j) to interfere with or circumvent the security features of the Services, third party products and services, or the Internet; or (k) to break the Feed rules or to misuse the Referral Program, as described in this Agreement. We reserve the right to terminate your use of the Services for violating any of the prohibited uses.
Intellectual property rights
“Intellectual Property Rights” means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by Wader Aviation Corp. or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with Wader Aviation Corp. All trademarks, service marks, graphics and logos used in connection with the Services, are trademarks or registered trademarks of Wader Aviation Corp. or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any of Wader Aviation Corp. or third party trademarks.
Disclaimer of warranty
You agree that such Service is provided on an “as is” and “as available” basis and that your use of the Services is solely at your own risk. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the Services will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error-free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service, including content posted by other users in the Feed, or that defects in the Service will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of Service is done at your own discretion and risk and that you will be solely responsible for any damage or loss of data that results from the download of such material and/or data. We make no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered into through the Service unless stated otherwise. No advice or information, whether oral or written, obtained by you from us or through the Service shall create any warranty not expressly made herein.
Limitation of liability
To the fullest extent permitted by applicable law, in no event will Wader Aviation Corp., its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of Wader Aviation Corp. and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to an amount no greater than one dollar or any amounts actually paid in cash by you to Wader Aviation Corp. for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.
Severability
All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.
Changes and amendments
We reserve the right to modify this Agreement or its terms related to the Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page, post a notification within the Services, send you an email to notify you. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided. Changes to subscription prices are governed by the Billing and auto-renewal section above rather than by this section.
An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. Your continued use of the Services after the effective date of the revised Agreement (or such other act specified at that time) will constitute your consent to those changes.
Acceptance of these terms
You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Services.
